Services MB Labs provides: * Development of dietary supplements * Private label and custom formulations * Manufacturing coordination (EU / Asia) * Packaging and labeling solutions * Logistics coordination MB Labs acts as an **intermediary and project manager** between client and manufacturing partners. 4. Offers & Contracts * All offers are **non-binding** unless explicitly stated * A contract is concluded upon written confirmation (email is sufficient) * Prices may vary depending on raw materials, quantities, and specifications 5. Pricing & Payment Terms * Prices are quoted per unit or project basis * Development fees must be paid in advance * Production typically requires: 50% upfront payment 50% before shipment Failure to pay may result in project delays or cancellation. 6. Minimum Order Quantities (MOQ) * MOQ depends on production location and product type * Asia production: typically from 250 units * EU production: typically from 3,000–4,000 units Custom agreements may apply. 7. Samples & Development * Sample and development fees are **non-refundable** * Samples are for evaluation purposes only * Final product may vary slightly due to scaling and production processes 8. Production & Lead Times * Production timelines are estimates only * Typical timelines: * Asia: 1–2 months * Europe: 2–4 months MB Labs is not liable for delays caused by manufacturers, logistics providers, or force majeure. 9. Shipping & Logistics * Shipping costs are calculated separately unless stated otherwise * Delivery terms (e.g., DDP, EXW) will be defined in the offer * Risk transfers according to agreed Incoterms 10. Compliance & Responsibility * Clients are responsible for ensuring that products comply with local laws and regulations in their target market * MB Labs provides guidance but does not assume legal liability for compliance, labeling, or claims 11. Intellectual Property * Custom formulations developed after payment remain the property of the client * MB Labs reserves the right to use general know-how and non-confidential processes 12. Liability * MB Labs is not liable for: * Regulatory issues in the client’s market * Misuse of products * Indirect or consequential damages Liability is limited to the value of the respective order. 13. Returns & Refunds * Due to the nature of customized products, returns are generally **not accepted** * Refunds are not provided once production has started 14. Force Majeure MB Labs is not responsible for delays or failure to perform due to events beyond its control, including: * Supply chain disruptions * Government restrictions * Natural disasters 15. Governing Law These GTC shall be governed by the laws of the United Arab Emirates. 16. Final Provisions * Any deviations must be agreed in writing * If any provision is invalid, the remaining provisions remain unaffected
